9. Product Availability & Pricing

While we use our best efforts to fulfill all orders, we cannot guarantee availability of any particular product. We strive for an error-free site and catalog; if price errors are discovered, they are corrected and the corrected price applies to your order. We will notify you if your order includes incorrectly priced items.

10. General, Governing Law & Electronic Acceptance

These Terms constitute the entire agreement between you and Floodbarrierstore governing your use of the Site and supersede prior agreements. Additional terms apply when you purchase products. If any provision is held invalid, the remaining provisions stay enforceable. Our failure to enforce any right is not a waiver.

These Terms are governed by the laws of China, without regard to conflict-of-laws principles. Any claim arising out of or related to the Site or these Terms must be filed within one year after it arose or be forever barred.

Your continued use of www.floodbarrierstore.com constitutes acceptance of these Terms as a legal contract and the equivalent of an electronic signature. Natural persons executing this contract represent that they are at least eighteen years of age and duly authorized to act for any entity they represent.

11. Terms of Sale — Acceptance & Binding Terms

These Terms of Sale govern your purchase of any product offered by Floodbarrierstore as Seller. By placing an order, you as Buyer acknowledge that you have read, accepted and agreed to be bound by them without qualification. They may be modified at any time at Seller’s sole discretion.

All sales are subject to these Terms, which prevail over any inconsistent terms in a Buyer purchase order or other document. Additional or different terms are expressly objected to and are not binding unless accepted in writing by Seller’s authorized representative.

12. Pricing

Prices on our website, catalogs or quotes are subject to change without notice unless otherwise noted in writing. Clerical or mathematical errors are not binding on Seller. Prices include any applicable sales, excise or governmental taxes payable by Seller. All prices and terms are kept confidential except as required by law.

13. Force Majeure

Seller is not liable for delay or default in delivery caused by events beyond its reasonable control, including governmental action, strikes, fire, war, terrorism, manufacturer shortages, transportation availability and acts of God.

On such an event, Seller’s performance time is extended reasonably, the price may be adjusted for increased costs, and Buyer is not entitled to any other remedy.

14. Product Warranty

Eudore aluminum flood barriers are manufactured in our own factory and are covered by our 15-Year Warranty Policy, which sets out the sole and exclusive warranty for the goods.

Except as stated in that policy, Seller disclaims all other express and implied warranties, including the implied warranties of merchantability and fitness for a particular purpose. Seller is not responsible for its interpretation of plans or specifications provided by Buyer; Buyer is responsible for final approval of suitability. Claims must be brought within one year of accrual.

15. Product Suitability & Local Codes

Many countries, states and localities have codes and regulations governing the sale, construction, installation and use of products. While we aim for our products to comply, we cannot guarantee compliance or be responsible for how a product is installed or used.

Before purchase, please review the product application and applicable national and local codes to confirm the product, installation and use will comply.

16. Freight & Delivery

We ship by sea freight. Delivery countries, methods and estimated times are set out on our Shipping & Delivery page.

17. Damaged or Lost Merchandise

Please inspect your shipment carefully on arrival:

• Inspect for visible damage to the shipping container as soon as it is received.
• If any goods are short or damaged, note it on your copy of the freight bill before signing, with the freight agent’s acknowledgment.
• Report any concealed damage to your freight agent at once, confirmed in writing within 15 days of delivery, and retain the damaged container for inspection.

We are willing to assist you in collecting claims for loss or damage, but this does not make us responsible for collection or replacement. Reporting damage to us as soon as possible with clear photos, including the shipping label, helps us resolve it quickly.

18. Payment Terms

Payment is accepted by credit card or PayPal, unless a credit application has been approved. Government and institutional buyers may pay by signed purchase order.

All orders are subject to Seller’s continuing credit approval. Seller may require an advance deposit of up to 100% of the selling price for specially manufactured custom goods. Past-due accounts bear interest at the lesser of 1.5% per month or the maximum rate permitted by law. See our Payment Methods page for details.

19. Export, Import & Anti-Diversion

Buyer shall not export or re-export the goods or related technology except in accordance with applicable export laws and regulations of China. Buyer represents it is purchasing from China and importing to the destination specified in the documentation, with no re-export or diversion contrary to applicable law.

Buyer is responsible for obtaining any import licenses or official authorizations required by the country of importation, and acts as the foreign principal party in interest for export-documentation purposes.

20. Governing Law, Arbitration & General Provisions

This agreement and the business relationship between Buyer and Seller are governed by and construed in accordance with the laws of China, excluding conflict-of-laws rules and the UN Convention on Contracts for the International Sale of Goods.

• Dispute resolution: disputes shall be finally settled by binding arbitration in China under the applicable Commercial Arbitration Rules, by a single arbitrator, conducted in English.
• Termination: Seller may terminate or restrict any order immediately on notice if Buyer fails to comply with these Terms.
• Assignment: Buyer may not assign any order without Seller’s prior written consent.
• Independent contractors: nothing creates a partnership, dealership, agency, employment or joint venture.
• Severability & entire agreement: if any term is invalid, the rest remain in effect; these Terms, with any documents we publish, including invoice, packing slip and website, are the entire agreement and supersede prior understandings.
• Accuracy of account information: we may refuse or limit any order and may limit or prohibit orders that appear to be from dealers, resellers or distributors. You agree to provide current, complete and accurate purchase and account information. For returns, see our Returns & Refunds policy.
